Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Jounce, Inc. (“Jounce,” “we,” “us,” or “our”) governing your access to and use of the Jounce website, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you accept these Terms for it and confirm you have authority to do so.

1.The Service

Jounce is a design-first email marketing platform that lets you build, send, and manage email campaigns and the audiences that receive them. We may add, change, or remove features over time as the Service evolves.

2.Eligibility and your account

You must be at least 18 years old to use the Service. You agree to provide accurate information, to keep it current, and to keep your login credentials secure. You are responsible for all activity that happens under your account.

3.Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. In particular, you are solely responsible for your email content and for ensuring that every recipient has consented to hear from you. Sending unsolicited email through Jounce is a material breach of these Terms.

4.Your content and data

You retain ownership of the content, designs, and contact data you upload or create (“Your Content”). You grant Jounce a limited, worldwide license to host, store, process, transmit, and display Your Content as needed to operate and provide the Service. You represent that you have all rights and permissions necessary for Your Content, including the right to email the contacts you import.

5.Subscriber data and privacy

When you upload or collect subscriber information through Jounce, you are responsible for that data and its lawful use, including having a valid basis to email those contacts. Our handling of personal data is described in our Privacy Policy.

6.Fees and billing

Some features may be offered on paid plans. Any applicable fees, billing cycles, and trial terms will be presented to you before you subscribe. Unless required by law, fees are non-refundable, and you are responsible for any applicable taxes.

7.Third-party services

The Service relies on third-party infrastructure, including cloud hosting and email-delivery providers, to operate and to send your email. Your use of the Service may also be subject to those providers’ terms. We are not responsible for third-party services we do not control.

8.Intellectual property

Jounce and its software, design, templates, and trademarks are owned by us or our licensors. These Terms do not grant you any rights in them except the limited right to use the Service in accordance with these Terms.

9.Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, or where necessary to protect the Service, our other users, or third parties. When your account ends, your right to use the Service ends with it.

10.Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind. We do not guarantee that any email will be delivered, or that the Service will be uninterrupted, secure, or error-free.

11.Limitation of liability

To the fullest extent permitted by law, Jounce will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim (or USD 100 if you paid nothing).

12.Indemnification

You agree to indemnify and hold Jounce harmless from any claims, damages, or costs arising out of Your Content, your email, your contacts, or your violation of these Terms, the Acceptable Use Policy, or the law.

13.Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the “Effective” date above, and your continued use of the Service after a change means you accept the updated Terms.

14.Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute arising out of these Terms or the Service, except where applicable law provides otherwise.
